Integris Partners, Ltd. recently advised Actagro, LLC, headquartered at its plant in Biola, CA, on a highly successful control recapitalization led by RedCloud Capital, Inc, based in Denver, Colorado.

Richard Spencer, previous majority owner, said, "Actagro is a fantastic company with a lot of growth in front of it. Integris ran a process which generated substantial interest in the United States and, through its IMAP affiliates, in other countries as well. In the end we decided we wanted to retain a significant ownership stake which eliminated strategic buyers from consideration. Integris educated us and led us through the process to get us full value for this high growth business."

Actagro is a leading developer of organic based humate fertilizers which are utilized by market-leading agricultural enterprises including vineyards, orchards, and tomato and leafy vegetable growers among others. The Company is currently building an additional modern manufacturing facility in Oceola, Arkansas. Carl Ueland, Chief Executive Officer said: "Since the management team was going to continue with the company, and we were reinvesting a significant part of our proceeds, it was really important to find the right partner as well as the highest valuation. Integris helped us manage through the dynamics and we're delighted with how things turned out."

Kevin Mitchell, RedCloud Managing Partner, said, "We knew that there was a lot of interest in this business, including from some larger and more well-known private equity groups. So we had to put our best foot forward if we were going to have the chance to win. We were dealt with professionally by Integris and the sellers throughout the process. We're very pleased to be Actagro management's financial partner going forward."
