Integris Partners recently advised Northern Colorado Paper, Inc. in its sale to Interline Brands, Inc. (NYSE: IBI). With headquarters in Greeley, Colorado, NCP is a leading distributor of janitorial, sanitation, and other paper supplies to the healthcare, education, food-service, manufacturing and service sectors along the Front Range from New Mexico to Wyoming. Interline Brands, headquartered in Jacksonville, FL is a leading national distributor and direct marketer of a range of products to the maintenance, repair and operations industry. This transaction is the most recent of a number of distribution industry engagements completed by Integris Partners.

“Integris Partners was a valued partner to us throughout this process,” said Tim Ward, CEO and owner of NCP. “We were a private company that operated independently for 32 years and had no experience with M&A. Integris helped us from start to finish, in terms of finding the buyer, negotiating sale terms and coordinating the entire process with our other advisers. Due in no small part to their efforts, NCP has a great new home and we are excited about the future.”

Randy Hocking, NCP’s CFO, added “Integris was able to help get us prepare for the diligence process and present our materials in a professional manner. With us being a fairly traditional private company, and the buyer being a public company with their specific reporting requirements, I’m glad that we had Integris alongside us to help us navigate this dynamic.”

Since its establishment in 1978, NCP has grown into one of the largest regional distributors of its product lines. For additional information, please contact Bill Eastwood or Robert Heilbronner.
